Membership Terms

TAIYE LLC ("TAIYE," "we," "us," or "our") offers three tiers of private membership under the TAIYE Private Access program: TAIYE House, TAIYE Privé, and House Noir (each, a "Membership"). Please review these Membership Terms carefully before enrolling. They contain important information about your Membership, including billing, renewal, cancellation, benefits, and our right to modify or revoke your Membership.

By purchasing a Membership, you agree to these Membership Terms, as well as our Privacy Policy and any additional terms communicated to you at the time of purchase or via your welcome email. These terms constitute a binding agreement between you and TAIYE LLC.

Membership Tiers and Pricing

TAIYE Private Access is currently offered at three membership tiers. Each tier is billed annually and includes the benefits described on the corresponding membership page at the time of purchase.

All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in Section 4 of these terms. TAIYE reserves the right to modify membership pricing with at least thirty (30) days' notice to active members prior to their next renewal date. Continued membership after the effective date of a price change constitutes acceptance of the new pricing.

Automatic Renewal and Billing Authorization

Your Membership will automatically renew on the anniversary of your enrollment date each year (your "Renewal Date"). Approximately thirty (30) days before your Renewal Date, you will receive a renewal notice at the email address associated with your account.

By enrolling in a Membership, you expressly authorize TAIYE to charge the payment method on file the applicable annual membership fee on or around your Renewal Date each year, without further action required from you. This authorization remains in effect until you cancel your Membership in accordance with Section 3 of these terms.

If your payment method fails or is declined at the time of renewal, TAIYE will make reasonable attempts to process the payment. If payment cannot be collected within seven (7) days of your Renewal Date, your Membership and associated benefits may be suspended or terminated at TAIYE's discretion. You remain responsible for any outstanding amounts owed.

TAIYE is not responsible for any fees, overdrafts, or charges imposed by your financial institution in connection with membership billing.

Cancellation Policy

You may cancel your Membership renewal at any time prior to your Renewal Date by contacting TAIYE at care@taiye.co. Cancellation requests must be received no later than twenty-four (24) hours before your scheduled Renewal Date to avoid being charged for the next membership year.

Cancellation stops future automatic billing but does not terminate your current membership period. You will retain access to all membership benefits through the end of your paid annual term. There are no cancellation fees.

Cancellation prior to the end of an active membership period will not result in a prorated refund, partial credit, or any other compensation for the unused portion of your term. All fees paid are final.

TAIYE does not place "holds" or "pauses" on Memberships. If you wish to pause your Membership, you must cancel and re-enroll at the then-current membership fee when a new enrollment window is available. Re-enrollment is not guaranteed.

No Refund Policy

All TAIYE Private Access membership fees are final and non-refundable upon activation. There are no refunds, partial refunds, or credits issued for any reason after a Membership has been activated, including but not limited to:

· Unused benefits or credits during a membership year
· Dissatisfaction with the membership program or its contents
· Failure to complete a member profile form
· Cancellation of a Membership prior to the end of a paid term
· Revocation of a Membership for cause under Section 8
· Changes to membership benefits made in accordance with Section 10

In the limited circumstance where a member gift or physical item arrives damaged or is confirmed lost in transit, TAIYE will, at its sole discretion, offer a replacement or store credit. To be eligible, the damaged or missing item must be reported in writing to care@taiye.co within fourteen (14) days of receiving shipping confirmation. Reports submitted outside this window will not be eligible for replacement or credit.

All refund decisions are made at the sole discretion of TAIYE LLC. Initiating a chargeback or payment dispute for a membership fee may result in immediate membership termination without notice and may affect your eligibility for future enrollment.

Annual Credit

Each membership tier includes a private annual store credit ("Annual Credit") issued to your TAIYE account upon activation and reissued within seven (7) days of each annual renewal. Annual Credit amounts by tier are as follows: $75.00 for TAIYE House, $150.00 for TAIYE Privé, and $300.00 for House Noir.

Annual Credits are applied as store credit to your TAIYE account and may be used toward eligible purchases at taiye.co. No code is required. Credits apply automatically at checkout. Annual Credits have no cash value, are non-transferable, and cannot be redeemed for cash, combined with public promotional discounts, applied toward membership fees, or transferred to another account.

Annual Credits expire at the end of each membership year and do not carry forward to subsequent membership years. TAIYE is not responsible for unused credits at the time of membership cancellation, expiration, or termination.

TAIYE reserves the right to modify Annual Credit amounts, terms, and eligible redemption conditions with reasonable notice to active members. Changes to Annual Credit terms do not entitle members to a refund of membership fees.

In the event that automatic Annual Credit issuance fails due to a technical error, members must notify TAIYE at care@taiye.co within thirty (30) days of their activation or renewal date. TAIYE will manually issue the credit upon confirmation. Credits not claimed within thirty (30) days of the notification window will be forfeited.

Complimentary Shipping Benefit

Active members receive complimentary standard domestic U.S. shipping on eligible orders placed at taiye.co during their membership year. This benefit applies automatically at checkout and does not require a code.

The complimentary shipping benefit does not apply to the following: expedited or express shipping upgrades, international orders, shipments to U.S. territories, orders placed after membership expiration or cancellation, or orders where the shipping address cannot be verified as a valid U.S. domestic address.

TAIYE reserves the right to modify, limit, or discontinue the complimentary shipping benefit with reasonable notice to active members. Modification of the shipping benefit does not entitle members to a refund of any portion of their membership fee.

Member Gifts, Parcels, and Physical Benefits

Depending on membership tier, benefits may include birthday gifts, annual member gifts, curated parcels, exclusive member products, surprise gifts, anniversary gifts, and a luxury annual signature gift experience (collectively, "Member Gifts"). Member Gifts are extended at TAIYE's discretion as part of the membership experience.

Specific gift items, parcel contents, and product selections are determined solely by TAIYE and are subject to availability. TAIYE reserves the right to substitute any item with a comparable item of equal or greater value. Member Gifts have no guaranteed cash value, cannot be exchanged, returned, or redeemed for cash, and are not eligible for refund.

Birthday gifts are extended to active members during their birthday month, provided that the member has submitted their birthday information via the member profile form prior to the first day of their birthday month. TAIYE is not responsible for birthday gifts that cannot be sent due to incomplete member profile information or undeliverable shipping addresses on file.

Member Gift shipments are fulfilled using TAIYE's standard domestic shipping carrier (currently USPS Ground). Delivery timelines are estimates and are not guaranteed. TAIYE is not liable for delays caused by carrier, weather, or circumstances beyond TAIYE's reasonable control.

Members are responsible for maintaining an accurate and deliverable shipping address in their member profile. TAIYE is not responsible for gifts that are undeliverable, lost, or returned due to an incorrect or outdated address on file. In the event a gift is returned to TAIYE due to an undeliverable address, TAIYE may, at its discretion, attempt one reshipment upon receipt of a corrected address.

Membership Revocation and Termination

TAIYE reserves the right to revoke, suspend, or terminate any Membership at any time, with or without prior notice, for any reason including but not limited to:

· Violation of these Membership Terms or any other TAIYE policies
· Fraudulent, abusive, or deceptive conduct in connection with a Membership or any TAIYE purchase
· Initiation of a chargeback, payment dispute, or reversal of a membership fee
· Abusive, threatening, or harassing behavior directed toward TAIYE staff or representatives
· Conduct that TAIYE, in its sole discretion, deems inconsistent with the values and standards of the TAIYE brand
· For House Noir members: a sustained decline in annual spend below the threshold at which the invitation was originally extended

In the event of membership revocation for cause, no refund of any membership fees will be issued for any portion of the current membership year. Access to all membership benefits will cease immediately upon revocation.

TAIYE also reserves the right to discontinue the Private Access membership program in its entirety with at least sixty (60) days' notice to active members. In the event of program discontinuation, members will receive a prorated refund of their annual membership fee for the unused portion of their current term.

House Noir — Invitation Only Terms

House Noir is the third and most private tier of TAIYE Private Access. It is not publicly available and is extended exclusively by invitation at TAIYE's sole discretion. The following additional terms apply to House Noir membership:

Submission of a consideration request at taiye.co/pages/contact does not constitute an application, does not guarantee an invitation, and does not create any obligation on the part of TAIYE. TAIYE reserves the right to decline any consideration request at any time and for any reason without explanation.

Invitations are extended based on TAIYE's internal assessment of long-term customer relationship, annual spend history, and alignment with the world of TAIYE. Criteria are intentionally private and are not published. Meeting any particular spend threshold does not guarantee an invitation.

House Noir membership is personal to the invited individual. It may not be transferred, gifted, or assigned. If a House Noir member's annual spend with TAIYE declines materially below the threshold at which the invitation was originally extended, TAIYE reserves the right to revoke the House Noir membership and, at its discretion, offer enrollment in a lower tier.

Certain House Noir benefits are not publicly disclosed and are communicated privately after an invitation is accepted. Acceptance of a House Noir invitation constitutes agreement to these Membership Terms in full.

Modifications to Membership Benefits

TAIYE reserves the right to modify, add, reduce, or remove membership benefits at any time. For material changes that reduce existing benefits, TAIYE will provide active members with at least thirty (30) days' advance notice via email to the address on file.

Changes to membership benefits do not entitle members to a refund of any portion of their membership fee. If you do not agree with a material change to your membership benefits, your sole remedy is to cancel your Membership prior to your next Renewal Date in accordance with Section 3.

From time to time, TAIYE may add new benefits to a membership tier at no additional cost. Additional benefits may be extended and withdrawn at TAIYE's discretion without notice.

Membership Transfers and Gifting

TAIYE House and TAIYE Privé memberships may be purchased as gifts for another individual. Gifted memberships must be arranged directly with TAIYE by contacting care@taiye.co prior to purchase. Once a gifted membership has been registered to a recipient, it becomes the recipient's membership and is subject to all terms herein.

Memberships are non-transferable after activation. A membership registered to one individual may not be reassigned, shared, sold, or transferred to another individual for any reason. House Noir memberships may not be gifted under any circumstances.

Membership Upgrades and Downgrades

Active TAIYE House members may request an upgrade to TAIYE Privé by contacting care@taiye.co. Upgrades are subject to availability and to the membership terms in effect at the time of the upgrade request. Upgrade pricing and proration terms will be communicated at the time of the request. Upgrades are not guaranteed.

Membership downgrades from a higher tier to a lower tier are not eligible for a refund of the difference in membership fees. A member wishing to move to a lower tier must cancel their current Membership and re-enroll at the lower tier during an available enrollment window.

House Noir membership cannot be requested or applied for and is not available as an upgrade option. It is extended exclusively by invitation as described in Section 9.

Domestic Shipping and Taxes

Complimentary standard U.S. shipping is extended to active members as described in Section 6. Taxes on orders placed at taiye.co are charged in accordance with applicable state and local laws and regulations and are the responsibility of the purchasing member.

Once a member gift or order is shipped, a shipping confirmation with tracking information will be sent to the email address on file. Certain deliveries may be left at the delivery address without a signature. It is the member's responsibility to ensure the delivery location is secure and accessible.

TAIYE currently ships member gifts and orders to domestic U.S. addresses only. International shipping for member gifts is not currently available.

Limitation of Liability

To the fullest extent permitted by applicable law, TAIYE LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your Membership, including but not limited to loss of access to membership benefits, delays in gift shipment, changes to membership benefits, or termination of the membership program.

TAIYE's total liability to any member for any claim arising out of or related to these Membership Terms shall not exceed the total membership fees paid by that member in the twelve (12) months preceding the claim.

Governing Law and Dispute Resolution

These Membership Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or related to these Membership Terms or your Membership shall be subject to the exclusive jurisdiction of the state and federal courts located in Palm Beach County, Florida, and you hereby consent to the personal jurisdiction of such courts.

Before initiating any legal proceeding, you agree to first contact TAIYE at care@taiye.co to attempt to resolve the dispute informally. TAIYE will use good faith efforts to resolve any dispute within thirty (30) days of receiving written notice.

Privacy and Data

By enrolling in a Membership, you consent to TAIYE collecting and using your personal information, including your name, email address, shipping address, birthday, and payment information, for the purpose of administering your Membership and delivering membership benefits. Your information will be handled in accordance with TAIYE's Privacy Policy.

TAIYE will not sell your personal information to third parties. Member information may be shared with trusted service providers involved in fulfillment, payment processing, and email communication solely for the purpose of delivering your membership benefits.

Changes to These Terms

TAIYE reserves the right to update or modify these Membership Terms at any time. When changes are made, the updated terms will be posted at taiye.co/pages/membership-terms with a revised "Last Updated" date. For material changes, TAIYE will notify active members via email at least thirty (30) days before the changes take effect.

Your continued membership after the effective date of any changes constitutes acceptance of the updated terms. If you do not agree to the updated terms, your sole remedy is to cancel your Membership prior to the effective date of the changes.
